(1) Pursuant to Rule 416 promulgated under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement shall also cover any additional shares of Common Stock that become issuable under the InVivo Therapeutics Holdings Corp. 2010 Equity Incentive Plan (the “Plan”) by reason of any stock dividend, stock split, recapitalization, or any other similar transaction without receipt of consideration that results in an increase in the number of outstanding shares of Common Stock of the Registrant. (the “Registrant”) that may be issued under the InVivo Therapeutics Holdings Corp. 2010 Equity Incentive Plan.
